it's just that innoDB, although disabled via have_innodb=OFF, still allocates ***a lot of*** memory for its non-useage ;-)
this is a "new" default behaviour of the installer
you can solve it two ways :
either set the various caches to zero size
or set skip-innodb in my.ini
